Terms of service

Draft for legal review. This document is a draft that has not been reviewed by a lawyer and is not yet in force. Text in [square brackets] is to be completed by the owner. Draft date: 17 October 2026

1. The agreement

These terms are between [legal entity name] ("Mawro") and the company that signs up ("Customer"). The person who accepts them confirms they are authorised to bind the Customer. An order form, where signed, takes precedence over these terms.

2. The service

Mawro provides the HRMS service as described on our website for the plan and add-ons the Customer chooses.

3. Trials

A trial gives full use of the chosen plan for the trial period shown at sign-up, for a limited number of employees, free of charge. At the end of the trial the Customer may subscribe; otherwise the account becomes read-only. [Data deletion period after an unconverted trial to be set.]

4. Fees and payment

Fees are per employee per month, at the rates on the pricing page or the order form, billed monthly or annually in US dollars. Each plan has a minimum number of billed employees. Invoices are payable within the period stated on the invoice. If an invoice is overdue, the account stays usable for a grace period and then becomes read-only until payment. [Taxes, price changes and refunds to be completed.]

5. Customer data

The Customer owns its data. Mawro processes it only to provide the service, under the data processing agreement, and the Customer can export its data. [Data return and deletion after termination to be completed.]

6. Acceptable use

The Customer must not misuse the service, attempt to break its security, or use it to process data unlawfully.

7. Availability and support

Support is provided according to the Customer's support tier. [Service levels, if any, to be defined in the order form.]

8. Liability

[Limitation of liability, indemnities and warranties to be drafted by counsel.]

9. Term and termination

[Renewal, notice and termination terms to be drafted by counsel.]

10. Governing law

[Governing law and dispute resolution to be decided by the owner.]
